Write a Legally Binding Contract
Contracts often contain legalese that does more to confuse than elucidate. However legal mumbo-jumbo is not necessary to make a contract valid.
The two main elements of a valid contract are that all parties be in agreement (meaning that an offer has been made by one party and accepted by the other or that a "meeting of the minds" has occurred) and that something of value be exchanged, which is called consideration.
You may want to add other clauses into your contract even though they are not necessary to make the contract legally binding. An arbitration clause is an agreement that disputes over the contract be handled by an objective third party. An entire agreement clause states that all current conditions apply and that previous terms and conditions are not applicable. A force majeure clause breaks the contract if something beyond either party's control happens.
Contracts do not necessarily have to be in writing. For example, if you enter a taxi and agree to pay the amount shown on the meter, you cannot legally refuse payment because you didn't sign a contract. However, many states require written contracts for real estate purchases and contracts that will last more than one year, and in general, it's easier to prove the terms established in the contract if they are in writing.
